1. TERMS AND CONDITIONS

1.1 Introduction and Formation of Agreement

By registering for an account with InvoiceRally, you (the “Subscriber”) agree to be bound by these Terms and Conditions. A legally binding agreement is formed upon completion of the signup process via email verification.

  • Governing Law: This Agreement is governed by the laws of Ireland, and the parties submit to the exclusive jurisdiction of the Irish courts.
  • Jurisdictional Safety Valve: Nothing in these terms excludes, restricts, or modifies any guarantee or right you may have under the Australian Consumer Law, the New Zealand Consumer Guarantees Act, or similar consumer protection legislation in the UK, USA, or Canada that cannot be legally excluded.

1.2 Nature of Service and Defined Roles

InvoiceRally provides a Software-as-a-Service (SaaS) platform for invoice tracking and automated management.

  • Non-Custodial Service: InvoiceRally is not a payment processor or money transmitter. We do not take custody of, process, or redirect funds; all financial transactions occur through third-party methods specified by the Subscriber.
  • Data Roles: The Subscriber is the Data Controller regarding their Client’s information; InvoiceRally is the Data Processor.

1.3 Subscription, Billing, and Trials

  • Trial Period: A 14-day free trial begins upon account creation.
  • Billing: To maintain service, Subscribers must transition to a paid subscription managed via Stripe. Fees are set based on the Subscriber’s region and currency at signup and are non-refundable after the trial period.
  • Continuity: If a past-due subscription is reactivated, the automated reminder engine resumes the scheduled cycle to ensure continuity.

1.4 Automated Follow-Up Reminders

  • Best Efforts: Reminders are provided on a “best efforts” basis with no guarantee of delivery or recipient action.
  • Fair Use & System Limits: To protect system stability and domain reputation, InvoiceRally imposes a daily limit of 50 emails per user.
  • Daily Digest: Subscribers receive a daily digest summarizing upcoming reminders, providing an opportunity to pause or mark invoices as paid before the automated chase occurs.

1.5 Asset Vault: Usage and Retention

The Asset Vault allows Subscribers to attach digital deliverables to an invoice.

  • Storage Limits: Paid users are permitted a maximum of 200MB per file and 5GB total storage.
  • Chain of Custody: Once the Vault is unlocked following a payment event, it is sealed against further modifications to maintain a verifiable record of delivery.
  • Retention Policy: Once downloaded, vault contents will only be retained for a set period of time depending on system capabilities. Subscribers are responsible for ensuring their clients download deliverables promptly.

1.6 Client Query Period (CQP) and Deemed Acceptance

  • Technical Logic: The CQP commences only upon the first genuine human view of the hosted invoice page, excluding automated fetches by email preview bots.
  • Deemed Acceptance: If the CQP expires without a dispute, the system records a “Deemed Acceptance” event in the audit ledger.
  • Legal Disclaimer: The Forensic Audit Report and Deemed Acceptance logs are technical records and do not constitute legal advice. Consult a qualified legal adviser before commencing proceedings based on these records.

1.7 General Disclaimers and Liability

  • No SLA: InvoiceRally is provided “as is” without a guaranteed Service Level Agreement (SLA) or uptime guarantee.
  • Third-Party Dependencies: We assume no liability for failures originating from providers such as Cloudflare, Supabase, Resend, or freetsa.org.
  • Timestamping: While we utilize RFC 3161 timestamping, the unavailability of the Time Stamping Authority (TSA) does not invalidate internal database records.

2. PRIVACY POLICY

2.1 Data Collection and Legitimate Interest

To provide the Forensic Audit Ledger, we collect IP addresses, browser fingerprints (User-Agent strings), geolocation, names, and email addresses. This processing is necessary for the Legitimate Interest of fraud prevention and providing evidence for debt recovery.

2.2 Jurisdictional Compliance

  • GDPR (UK/EU): We comply with UK and EU GDPR standards, including the use of standard contractual clauses for international transfers.
  • CCPA (USA/California): This policy serves as a “Notice at Collection.” We do not sell personal information as defined by California law.
  • PIPEDA (Canada): In the event of a data breach posing a “real risk of significant harm,” we will notify the appropriate authorities and affected individuals as required by Canadian law.
  • Data Minimization: By selecting a specific region (e.g., Australia or Canada), the platform limits data collection to fields strictly required for those standards.

2.4 Data Subject Rights

Users may exercise rights to access, correction, or deletion by contacting support@invoicerally.com. Subscribers may opt-out of marketing communications at any time, though essential transactional emails (e.g., Magic Links) will still be sent.

2.5 Bot Detection and Integrity

We perform automated bot detection to distinguish between automated email security scanners and genuine human interaction. This is critical to the integrity of the “Deemed Acceptance” record and the Forensic Audit Ledger.
